Terms of Service

These Terms of Service ("Terms") govern your access to and use of Monipler (the "Service"), operated by Intelica Analytics, with a principal place of business at 917 Merchants Walk, Suite C, Huntsville, AL 35801 ("we", "us", "our"). By creating an account or using the Service, you agree to be bound by these Terms.

1. The Service

Monipler is a white-labeled carousel content system that lets consultants, agencies, and GovCon firms generate, brand, and approve social-media carousels. Features available to you depend on the plan you select.

2. Eligibility and Account

You must be of legal age to contract in your jurisdiction and, if using the Service on behalf of an organization, have authority to bind it. You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account, and for providing accurate information and keeping it up to date.

3. Acceptable Use

You agree not to:

• use the Service for any unlawful purpose, including fraud, spam, harassment, or to infringe intellectual property rights;
• upload malware or interfere with the security or integrity of the Service (including probing, scanning, or scraping);
• reverse engineer, decompile, resell, or redistribute the Service or circumvent its technical limitations;
• generate or publish content that is illegal, defamatory, hateful, sexually exploitative, deceptive (including deepfakes), or that infringes others' rights.

4. User Content and AI Outputs

You retain ownership of the content you upload or create with the Service ("User Content"). You grant us a limited, worldwide, non-exclusive license to host, process, transmit, and display User Content solely to operate and improve the Service. You are responsible for ensuring you have the rights to any input content, for your prompts and how you use generated outputs, and for verifying the accuracy and suitability of outputs before publishing them.

We may remove, restrict, or refuse to generate content that violates these Terms or applicable law, and we reserve the right to suspend accounts for repeated infringement after providing notice where reasonable.

5. Intellectual Property

The Service, including its software, templates, brand assets, and documentation, is owned by Intelica Analytics or its licensors and is protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable right to use the Service in accordance with your plan.

6. Payment, Subscriptions, Taxes, and Refunds

Paid plans are billed in advance on a recurring basis until cancelled. Our order process is conducted by our online reseller Paddle.com. Paddle.com is the Merchant of Record for all our orders. Paddle provides all customer service inquiries and handles returns. Billing, taxes, currency conversion, subscription management, cancellations, and refunds are governed by Paddle's Buyer Terms and our Refund Policy.

7. Service Level

We work hard to keep the Service available and reliable, but we do not guarantee that it will be uninterrupted, error-free, or free from loss of data. To the fullest extent permitted by law, the Service is provided "as is" and we disclaim all implied warranties, including merchantability, fitness for a particular purpose, and non-infringement.

8. Suspension and Termination

We may suspend or terminate your access for material breach of these Terms, non-payment, security or fraud risk, or repeated or serious policy violations. You may cancel at any time from your account. Upon termination, your right to use the Service ends and we may delete your content after a reasonable export window.

9. Limitation of Liability

To the fullest extent permitted by law, our aggregate liability arising out of or relating to the Service is limited to the fees you paid to us in the twelve (12) months preceding the event giving rise to the claim. We will not be liable for indirect, consequential, special, or incidental damages, including loss of profits, revenue, data, or goodwill. Nothing in these Terms excludes liability that cannot be excluded by law.

10. Indemnity

You agree to indemnify and hold harmless Intelica Analytics from claims arising out of your User Content, your use of the Service in violation of these Terms, or your violation of applicable law.

11. Governing Law and Disputes

These Terms are governed by the laws of the State of Alabama, USA, without regard to its conflict-of-laws principles. The state and federal courts located in Madison County, Alabama have exclusive jurisdiction over any disputes, except where prohibited by mandatory local law.

12. Changes

We may update these Terms from time to time. If changes are material, we will provide reasonable notice (such as by email or an in-app notice). Continued use of the Service after changes take effect constitutes acceptance.
